Terms of Service & Supply Agreement

Welcome to UBLASH (accessible via lashmanufacturers.com). By accessing our website, requesting product samples, transmitting packaging artwork, or issuing formal purchase orders, you agree to be bound by the commercial terms outlined herein.

1. Acceptance & B2B Operational Scope

UBLASH is a dedicated B2B eyelash and accessories OEM/ODM manufacturer. Our offerings and services are exclusively designed for commercial enterprise entities, including:

• Overseas lash wholesalers and regional distributors;
• Private-label cosmetics and beauty salon chains;
• E-commerce DTC brand founders and beauty supply retailers.

We do not operate as a consumer retail marketplace. Inquiries and sample allocations are qualified based on genuine commercial intent.

2. Samples, Custom Dielines & Free Design Policy

To ensure total clarity before initiating mass manufacturing, our sampling process operates under specific standard guidelines:

1. Stock Sample Kits: Dispatched via express courier (DHL/FedEx) to verify raw fiber softness (0.03–0.07mm Korean PBT), curl heat memory, and adhesive retention. Sample fees and freight are payable prior to dispatch.
2. Free Packaging Design Revisions: We provide complimentary graphic layout, LOGO placement, and 3D box rendering until the buyer grants formal written approval.
3. Custom Physical Prototypes: Custom printed physical samples can be arranged upon request; associated tooling and printing plate expenses will be specified on a separate quotation.

3. Intellectual Property, Private Label Ownership & NDA

We maintain strict boundaries regarding proprietary assets and brand ownership:

• Buyer's Intellectual Property: All brand logos, trademarks, proprietary box graphics, and custom lash map combinations provided by the buyer remain the exclusive intellectual property of the buyer. UBLASH will never duplicate or supply your private artwork to third parties.
• Manufacturer's Proprietary Formulations: Chemical formulations for eyelash adhesives, primers, bonders, and manufacturing mold designs remain proprietary to UBLASH and its certified laboratory partners.
• Non-Disclosure Execution: Formal bilateral NDAs will be provided and executed upon request prior to reviewing confidential vectors or novel packaging molds.

4. Proforma Invoices (PI), Tiered Pricing & Payments

Every commercial transaction requires formal documentation locking in all specifications:

• Order Commitment: A binding contract is formed upon mutual countersignature of our official Proforma Invoice (PI) detailing product SKUs, curl types, lengths, thicknesses, tray quantities, and packaging specifications.
• Tiered Wholesale Pricing: Quotes are structured across 3 distinct volume tiers. Freight is quoted separately from product and customization costs, and payment terms are stated on each PI.
• Payment Milestones: Orders under $3,000 USD are prepaid in full before production. Orders over $3,000 USD require a 50% deposit upon PI confirmation, with the remaining 50% balance payable before shipment.

5. Production Schedules & International Freight Terms

Lead times and delivery responsibilities are defined as follows:

• Standard Production Windows: Typically 3 to 4 weeks for standard repeat orders, and 4 to 6 weeks for initial custom private-label packaging runs following final artwork sign-off.
• Incoterms (EXW / FOB / DDP): Deliveries are executed according to the Incoterm specified on your PI. Where DDP (Delivered Duty Paid) is agreed, UBLASH assists in managing customs duties and door-to-door transit to North America, the UK, and the EU.
• Force Majeure: UBLASH is not liable for transport delays caused by customs physical examinations, port congestion, airline cancellations, or acts of God beyond reasonable factory control.

6. Quality Inspection, Accountability & Warranty Claims

We stand firmly behind our 7-year manufacturing reputation with a no-runaround commitment:

1. Dedicated 1-on-1 Liaison: Your assigned account manager remains your continuous contact for aftersales support.
2. Inspection Period: Buyers must inspect incoming goods within 14 calendar days of port or address delivery and report any discrepancy in curl uniformity, quantity, or packaging defects.
3. Remedy & Replacement: In the verified event of manufacturing defects exceeding agreed AQL standards, UBLASH will expedite complimentary replacement batches or issue credit memos applied to subsequent orders.

7. Governing Law, Compliance & Dispute Resolution

All supply agreements are governed by international commercial trading norms. Parties pledge to first seek amicable settlement through designated executive consultation. Any unresolved commercial dispute shall be submitted to binding international commercial arbitration under recognized international trade commission frameworks.
